What is a Private limited company ?

​

A private limited company is a company that is privately held for small businesses.The liability of the members of a Private Limited Company is limited to the value of shares respectively held by them. One should note that such benefits are not available to sole proprietors, who face unlimited liability.

Company Formation

  • Governance

    • Ministry of Corporate Affairs

    • Companies Act 2013

    • Companies Incorporation Rules, 2014

  • Registration

    • A company will need a minimum of 2 shareholders and 2 directors to do Pvt. Ltd. company registration in India.

    • Paid-up capital shall not be less than ₹ 1 Lakh.

  • Points to keep in mind

    • A natural person can be a director as well as a shareholder.

    • A corporate legal entity can only be the shareholder.

    • Further, Foreign nationals, foreign corporate entities, or NRIs with Foreign Direct Investments (FDIs) can become the directors and/or the shareholders of a company.

  • Required Documents

List of Documents Required for Incorporation of a Pvt. Ltd. Company:

A. Documents from Directors & shareholders

  1. Identity Proof (All)

    • Permanent Account Number (PAN) Card

    • Passport / Driving License / Voter Identity Card

    • Aadhaar Card

  2. Address Proof (Anyone)

    • Telephone Bill / Mobile Bill

    • Electricity Bill / Water Bill

    • Bank Statement /Bank Passbook with the latest transaction (Any one of the Documents not older than 2 months)

  3. Passport size Photographs

  4. Digital Signature Certificate (DSC)

  5. Specimen Signature

  6. Self-declaration about directorship in other company (if having)

  7. Mobile & Email ID

 

B. Documents from Directors (Already having DIN)

  1. Consent to Act as Director: Form DIR-2

  2. Details for DIN

  3. Declaration of DIN

 

C. Authorised Signatory Documents

  1. Mobile & Email ID for Authorised Signatory

  2. Identity Proof of authorized signatory for an opening bank account.

  3. Address Proof of authorized signatory for an opening bank account.

  4. Specimen signature of the authorized signatory for EPFO

 

Notes:

  1. All the Copies of documents must be Self Attested by the applicant.

  2. Telephone Bill / Mobile Bill/Electricity Bill / Bank Account Statement must be in the name of the applicant and should not be older than 2 months.

 

D. Address Proof for Principal Place of Business

  1. Rent Agreement

  2. NOC from the owner of premises

  3. Electricity Bill, Telephone Bill (Fixed Line Only), Gas Bill or Water bill (not older than 2 months)

(Should be signed by the owner of the premises)
